1. Acceptance of Terms

By accessing or using the WasteOS platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree, do not use the Service.

2. Description of Service

WasteOS is a cloud-based waste management platform that provides tools for fleet management, route optimization, collection scheduling, client management, ESG reporting, and operational analytics. The Service is offered as a multi-tenant Software-as-a-Service (SaaS) platform with subscription-based pricing.

3. Account Registration

• You must provide accurate, complete, and current information during registration.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account.
• You must notify us immediately of any unauthorized access or security breach.
• One company account per organization. Sub-users are managed through role-based access.

4. Subscription and Billing

4.1 Plans and Pricing

The Service is offered under various subscription plans with different features and limits. Current pricing is available on our website. We reserve the right to modify pricing with 30 days' notice.

4.2 Payment

• Subscription fees are billed in advance on a monthly or annual basis.
• All fees are non-refundable unless otherwise stated.
• Failure to pay may result in suspension or termination of your account.
• Usage-based charges (per truck, per region) are calculated based on active resources.

4.3 Free Trials

We may offer free trial periods. At the end of a trial, your account will be converted to a paid subscription or suspended, depending on your plan selection.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to other accounts or systems
• Interfere with or disrupt the Service or its infrastructure
• Reverse-engineer, decompile, or disassemble any part of the Service
• Use the Service to transmit malware, spam, or harmful content
• Resell, sublicense, or redistribute the Service without written consent
• Exceed the usage limits of your subscription plan

6. Data Ownership and Rights

6.1 Your Data

You retain ownership of all data you upload or create within the Service ("Your Data"). You grant us a limited license to process, store, and display Your Data solely to provide the Service.

6.2 Our Intellectual Property

The Service, including its software, design, features, and documentation, is owned by WasteOS and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable right to use the Service.

6.3 Aggregated Data

We may use anonymized, aggregated data derived from your use of the Service for analytics, benchmarking, and improving the platform. Such data will not identify you or your organization.

7. Service Level and Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform scheduled maintenance with reasonable advance notice. Enterprise customers may be eligible for a Service Level Agreement (SLA) with specific uptime commitments.

8. Limitation of Liability

To the maximum extent permitted by law, WasteOS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be error-free, secure, or meet your specific requirements. You use the Service at your own risk.

10. Termination

• You may cancel your subscription at any time through your account settings.
• We may suspend or terminate your access for violation of these Terms.
• Upon termination, your right to use the Service ceases immediately.
• We will retain your data for 90 days after termination to allow for export, after which it will be deleted.

11. Indemnification

You agree to indemnify and hold harmless WasteOS, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or through the Service. Your continued use after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation, and if necessary, binding arbitration.
